1. Introduction

2. Services

We offer two production plans depending on your supply chain.

Option A: CMT (Cut, Make, Trim)

You provide all materials.
Please ship fabrics, patterns, and trims to our factory in Japan. We handle cutting, sewing, finishing, and final inspection.

Pattern Data: If you have digital patterns, please send them in DXF format. (Paper patterns are also accepted by post.)
Best for: Brands using proprietary fabrics/materials.
Important (CMT): We are not responsible for defects caused by the quality of customer-provided fabrics/trims/interlinings.

Option B: OEM / Material Sourcing (Japan Domestic Sourcing)

We source Japanese materials.
We can source Japanese fabrics and trims (zippers, buttons, interlinings, etc.) through our local network.

Best for: Brands aiming for a complete “All Made in Japan” product.
Important (Sourcing): Availability, minimum order requirements, and lead time depend on supplier conditions.

3. Lead Time (Production Schedule)

Standard Lead Time: 2 to 4Months (Production Only)

Delivery Date Policy: The final delivery date will be determined by mutual agreement, based on our factory’s current capacity and your specific requirements.

Standard Estimate: 2 to 4 Months Lead time varies depending on the order quantity and the complexity (difficulty) of the product.

Important Note on Delays (Force Majeure): Please note that ISJ Enterprise Co., Ltd. is not liable for delays caused by unavoidable circumstances (Force Majeure), such as natural disasters, logistics disruptions, or other unforeseen events. No compensation will be provided for delays resulting from such causes.

Start of Lead Time (Important)

The production schedule begins only after:

Shipping & Customs

4. Quality Control

Safety and trust are our priorities. Each shipment undergoes strict inspection before dispatch.

• Needle Control & Needle Detection: We follow needle-control procedures and use a conveyor-type needle detector to minimize the risk of metal contamination.

• Visual Inspection: We inspect workmanship and visible defects prior to shipment.

Tolerance Notice (Not a Defect)

Due to the nature of textile production, slight variations may occur:

• Size: approx. ±1–2 cm

5. Payment & Shipping

Payment Terms (Important)

For all international orders, we require 100% advance payment before production or shipment.

• Orders of JPY 1,000,000 or more: T/T (bank wire transfer) is required.

• All transfer fees and bank charges are borne by the Buyer.

Shipping Methods

We select the best carrier based on volume and urgency:

• Courier (DHL / FedEx): approx. 3–8 days (Available for both Samples & Bulk)

• Sea Freight: economical for bulk orders (approx. 1–2 months)

Duties & Taxes

Import duties, VAT/GST, and local taxes are not included and are the Buyer’s responsibility.

TERMS AND CONDITIONS OF SALE (OVERSEAS)

1. General Provisions

These Terms and Conditions of Sale (“Terms”) apply to all goods and services provided by the Seller to an overseas purchaser (the “Buyer”). By placing an order or making any payment, the Buyer is deemed to have agreed to these Terms.

2. Orders and Contract Formation

2.1 The contract is established when the Seller issues a Proforma Invoice and confirms receipt of full payment from the Buyer.
2.2 The Seller may decline an order at its discretion prior to contract formation.

3. Prices, Currency, and Payment

3.1 Currency: Prices are quoted in JPY or USD as specified in the Proforma Invoice/Invoice.
3.2 Advance Payment: The Buyer shall pay 100% in advance before production or shipment.
3.3 Payment Method:

• Orders under JPY 1,000,000: Wise is recommended

• Orders of JPY 1,000,000 or more: Bank wire transfer (T/T) is required
  3.4 Fees: All bank charges, intermediary fees, and transfer fees shall be borne by the Buyer.

3.5 No Set-off (Set-off Prohibition)

The Buyer shall not withhold, set off, or deduct any amounts from payments due to the Seller for any reason (including claims or disputes) unless the Seller has agreed in writing.

3.6 Chargebacks / Payment Disputes

The Buyer shall not initiate chargebacks, payment reversals, or payment disputes (including payment-platform disputes) after payment has been made. If any chargeback/reversal/dispute occurs, the Buyer remains obligated to pay all amounts due and shall reimburse the Seller for any related fees, costs, and expenses.

3.7 Late Payment

If the Buyer fails to pay by the due date, the Seller may suspend production and/or shipment until full payment is received. The Buyer shall pay late payment interest on overdue amounts at a rate up to the maximum permitted under Japanese law, from the due date until the date of actual payment.

3.8 Collection Costs

The Buyer shall reimburse the Seller for all costs and expenses incurred in collecting overdue amounts or resolving payment-related disputes, including bank charges, administrative costs, translation costs, collection agency fees, and reasonable attorneys’ fees.

4. Production, Quality, and Tolerance

4.1 Quality Control: The Seller performs internal visual inspection and needle detection as standard practice. If the Buyer requires AQL inspection or third-party inspection, the Buyer must notify the Seller before production starts; additional costs may apply.
4.2 Tolerance (Not a Defect): Due to the nature of textile and garment manufacturing, slight variations in finished measurements and color shades may occur. As a general guideline, measurement tolerance of approximately ±1–2 cm and minor color shade differences are acceptable and are not treated as defects.
However, depending on fabric and construction—such as knits, stretch materials, lightweight fabrics, bias-cut styles, and washed/processed garments—measurements may be less stable and variations exceeding ±1–2 cm may occur. In such cases, the Buyer shall provide full material/specification/process details in advance, and the parties shall discuss and agree in writing on an appropriate tolerance range when necessary. If no prior written agreement is made, the Seller’s standard guideline above shall apply, and variations attributable to fabric characteristics or specifications shall not be treated as defects.
4.3 Customer-Provided Materials (CMT): For CMT orders, the Seller is not responsible for defects caused by the quality of customer-provided materials (fabric, trims, interlinings, etc.). The Buyer shall provide sufficient excess materials to cover testing, cutting loss, and possible defects.
4.4 Compliance & Labeling: The Buyer is responsible for ensuring that designs, materials, and care labels comply with the laws and regulations of the destination country.

4.5 Customer-Provided Materials (CMT) — Excess and Remaining Materials

Any remaining customer-provided materials after production may be returned upon the Buyer’s request, at the Buyer’s cost and risk. If the Buyer does not provide return instructions within 30 days after the Seller notifies completion (or shipment), the Seller may charge storage fees and/or dispose of the remaining materials without liability.

5. Lead Time and Production Schedule

5.1 Lead times are estimates only and depend on quantity, complexity, and readiness of materials.
5.2 The production schedule starts only after:
(a) payment is confirmed, and
(b) all required materials and patterns have arrived at the Seller’s factory and are confirmed usable for production.

6. Shipping, Delivery, and Incoterms

6.1 6.1 Incoterms: Default is DAP (Delivered at Place), or EXW (Ex Works) if requested by the Buyer.
6.2 Shipping Time: Any stated lead time covers production only. International shipping and customs clearance require additional time.
6.3 Partial Shipment: The Seller may deliver goods in installments (partial shipments). Each installment constitutes a separate delivery. Delay or dispute relating to any installment does not entitle the Buyer to withhold payment for other installments.
6.4 Delays / Force Majeure: The Seller is not liable for delays caused by shipping carriers, customs clearance, acts of government, or force majeure.

7. Import Duties and Taxes

Import duties, VAT/GST, and other local taxes are not included in the price and are the Buyer’s responsibility. If the Buyer refuses to pay and the shipment is returned, shipping costs are not refundable and return costs may be deducted from any refund.

8. Cancellation, Holds, and Change Requests

8.1 Once production has started, cancellation is not accepted.
8.2 If costs have been incurred (including sampling, material procurement, preparation), the Buyer must pay all incurred costs.
8.3 Changes after approval may require re-quotation, additional costs, and lead time extension.
8.4 If production is paused due to insufficient/defective Buyer-supplied materials, lead time will be extended, and additional costs (procurement/handling/shipping) are borne by the Buyer.

9. Returns and Claims

9.1 No Returns for Convenience

All orders are made-to-order based on the Buyer’s specifications and approvals. The Seller does not accept returns, exchanges, or refunds due to buyer convenience, including wrong size ordered, design preference, expected “feel/hand,” slow sales, or other subjective reasons.

9.2 Defects (Manufacturing Defect / Wrong Shipment)

The Buyer must notify the Seller with photographic evidence within 7 days of receipt. Claims after this period will not be accepted.

For clarity, the following are not considered defects:

• Variations within the tolerance stated in Section 4.2 (including measurement and color shade differences)

• Differences attributable to fabric characteristics, construction, washing/processing, or specifications approved by the Buyer

• Issues caused by customer-provided materials (CMT)

• Subjective preferences such as “different from expected,” “feel/hand differs,” “looks different,” or “does not match brand preference,” unless a specific requirement was agreed in writing prior to production

If a valid defect is confirmed, the Seller’s obligation is limited to repair, replacement, or other reasonable remedy determined by the Seller.

10. Intellectual Property

For OEM/custom orders, the Buyer warrants that it holds necessary rights to all designs, logos, and materials provided and agrees to indemnify the Seller against any third-party claims regarding intellectual property infringement.

11. Confidentiality / NDA

If requested, the parties may execute a separate NDA prior to sharing confidential designs or information.

12. Limitation of Liability

The Seller’s total liability arising out of or relating to the goods or services shall be limited to the amount actually paid by the Buyer for the relevant order. The Seller shall not be liable for indirect, incidental, special, or consequential damages, including loss of profit, loss of sales, loss of business opportunity, or reputational damage.

13. Language Priority

If there is any discrepancy between English and Japanese versions, the Japanese version shall prevail.

14. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the Gifu District Court, Japan.

15. No Waiver

Failure or delay by the Seller to exercise any right or remedy shall not constitute a waiver. Any waiver must be in writing and signed by the Seller.

16. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force. The invalid provision shall be modified to the minimum extent necessary to be enforceable.

17. Entire Agreement and Amendments

These Terms, together with the Proforma Invoice/Invoice and any written agreements explicitly referenced therein, constitute the entire agreement and supersede prior discussions. Any amendment must be in writing and agreed by both parties.

2. サービス内容

お客様の供給体制に合わせ、2つのプランをご用意しています。

お客様にて資材をご用意いただくプランです。
生地・パターン・副資材を当工場へご送付ください。当社が裁断・縫製・仕上げ・最終検品を行います。

3. 納期について（生産スケジュール）

標準納期：2〜4ヶ月（製造期間のみ）

納期ポリシー：最終的な納期は、工場の稼働状況とお客様のご要望を精査した上で、双方の合意により決定します。

標準目安：2ヶ月〜4ヶ月。納期は発注数量や製品の難易度によって変動します。

遅延に関する免責事項：天災、物流の混乱、その他予期せぬ事態（不可抗力）によって生じた遅延について、当社は責任を負いかねます。これらに起因する遅延に対する補償は対象外となりますのでご了承ください。

納期カウント開始条件（重要）

納期のカウントは、以下がすべて完了した時点で開始します。

• ご入金の確認

4. 品質管理

安全と信頼を最優先に、出荷前に厳格な検査を行います。

• 針管理・検針： 針管理を徹底し、コンベア式検針機にて金属混入リスクを低減します。

• 外観検品： 縫製不良・汚れ等の目視検査を実施します。

許容範囲（不良扱いにならないもの）

繊維製品の特性上、以下の誤差が生じる場合があります。

• サイズ： 概ね ±1〜2cm

• 色差： ロット差や環境により僅差が生じる場合あり
  これらは業界標準の許容範囲内とし、不良品とはみなしません。

取引条件書（海外取引）— （日本語）

1. 総則

本取引条件書（以下「本条件」）は、売主が海外の購入者（以下「買主」）に提供する全ての商品およびサービスに適用されます。買主は、発注または支払いを行った時点で本条件に同意したものとみなされます。

2. 注文と契約成立

2.1 契約は、売主がプロフォーマ・インボイス（見積書）を発行し、買主からの入金（全額）を確認した時点で成立します。
2.2 売主は、契約成立前において、裁量により注文を受諾しないことがあります。

3. 価格・通貨・支払い

3.1 通貨： 価格はプロフォーマ・インボイス／インボイス記載のとおり、日本円または米ドルで提示されます。
3.2 前払い： 生産または出荷の前に、代金の100%前払いが必要です。
3.3 支払い方法：

• 100万円未満：Wise推奨

• 100万円以上：銀行送金（T/T）必須
  3.4 手数料： 送金手数料・中継銀行手数料等は買主負担とします。

3.5 相殺禁止

買主は、売主の事前の書面同意なく、いかなる理由（クレーム、紛争、不良の主張等を含む）であっても、支払いの留保、相殺、控除を行うことはできません。

3.6 チャージバック／支払取消・異議申立て

買主は、支払い完了後に、チャージバック、支払取消、支払差止め、決済サービス上の異議申立て等（クレジットカード、決済プラットフォームを含む）を行わないものとします。万一発生した場合でも、買主は支払義務を免れず、売主に発生した手数料・費用・損害等を買主が負担します。

3.7 支払遅延（延滞）・遅延利息

買主が支払期日までに支払いを行わない場合、売主は買主が全額支払いを完了するまで、生産および／または出荷を停止できるものとします。買主は、支払期日から実際の支払完了日まで、日本法で認められる範囲内の利率による遅延利息を支払うものとします。

3.8 回収費用等の負担

買主は、未払金の回収または支払に関する紛争対応のために売主が負担した一切の費用（銀行手数料、事務費、翻訳費、回収代行費用、弁護士費用その他合理的費用を含む）を売主に補償するものとします。

4. 生産・品質・許容範囲

4.1 品質管理： 売主は標準として外観検品および検針を実施します。AQL検品または第三者検品等を要する場合、買主は生産開始前に指定するものとし、別途費用が発生する場合があります。

4.2 許容範囲（不良扱いにならないもの）： 繊維製品および縫製製品の特性上、仕上がり寸法および色差には若干の個体差が生じる場合があります。原則として、寸法について概ね**±1〜2cm**、色差について軽微な範囲の差異は許容範囲とし、不良とはみなしません。
ただし、ニット・ストレッチ素材・薄地・バイアス使い・洗い加工等、素材や仕様の特性により寸法が動きやすい場合、±1〜2cmを超える誤差が生じる可能性があります。この場合、買主は事前に素材・仕様・加工工程等の情報を提示し、必要に応じて当事者間で許容範囲（公差）を協議し、書面で合意するものとします。事前の書面合意がない場合は、売主の標準基準（上記）を適用し、素材特性または仕様に起因する範囲の差異は不良として取り扱いません。

4.3 CMT（資材支給）： 買主が資材を支給するCMTオーダーの場合、支給された生地・副資材・芯地等の品質に起因する不具合について、売主は責任を負いません。買主は裁断ロス、検品、試験、資材不良等を考慮した余分量を支給するものとします。

4.4 法令順守と表示： 製品のデザイン、素材、洗濯表示等が仕向国の法令・規制に適合していることの確認責任は買主にあります。

4.5 CMT残資材の返却・保管・処分

生産後に残った支給資材は、買主の指示により返送可能ですが、返送にかかる費用およびリスクは買主負担とします。売主が生産完了（または出荷）を通知した日から30日以内に買主から返送指示がない場合、売主は保管料を請求し、または売主の判断で残資材を処分できるものとし、買主はこれに異議を述べないものとします。

5. 納期と生産開始条件

5.1 提示する納期は目安であり、数量、仕様の複雑さ、資材の揃い具合等により変動します。
5.2 生産スケジュール（納期カウント）は、以下が全て完了した時点で開始します。
(a) 入金の確認（全額）
(b) 必要資材（生地・副資材）およびパターンが当工場に到着し、製造可能と確認できたこと

6. 配送・納品・貿易条件

6.1 貿易条件（Incoterms）： 基本はDAPですが、買主の要望があればEXWも可能です。
6.2 提示する納期は製造期間のみを指し、国際輸送・通関等に要する日数は別途必要です。
6.3 分割出荷： 売主は必要に応じて分割出荷（部分納品）できるものとし、各分割出荷は独立した納品として扱います。いずれかの分割出荷に関する遅延や主張があっても、買主は他の分割出荷分の支払いを留保・相殺・控除できません。
6.4 遅延・不可抗力： 配送業者、通関、行政機関の措置、不可抗力等に起因する遅延について、売主は責任を負いません。

7. 関税と税金

輸入関税、VAT/GST、その他の現地税は価格に含まれておらず、全て買主の負担となります。買主がこれらの支払いを拒否して荷物が返送された場合、送料は返金されず、返送費用を商品代金から控除する場合があります。

8. キャンセル・保留・仕様変更

8.1 生産開始後のキャンセルはお受けできません。
8.2 サンプル作成、資材発注、準備等で発生した費用は買主負担とします。
8.3 承認後の仕様変更は再見積、追加費用、納期延長の可能性があります。
8.4 資材不足・資材不良等（買主支給資材を含む）により生産が停止した場合、納期は延長され、追加調達・手配・輸送等の費用は買主負担とします。

9. 返品とクレーム

9.1 都合返品の不可

本取引は買主の仕様および承認内容に基づく受注生産であるため、サイズ間違い、好み・イメージ違い、質感（風合い）の相違、売れ残り等の買主都合による返品・交換・返金は一切お受けできません。

9.2 不良品（製造上の欠陥・誤送）

製造上の欠陥または売主による誤送があった場合、買主は受取後7日以内に写真等の証拠を添えて売主へ通知しなければなりません。期限後の申し出は受け付けません。

なお、以下は不良とはみなしません。

• 第4.2項に定める許容範囲内の差異（寸法誤差・色差等）

• 素材特性、縫製仕様、洗い・加工工程、または買主が承認した仕様に起因する差異

• CMT（資材支給）における支給資材の品質に起因する不具合

• 「想像と違う」「質感が違う」「見え方が違う」「好みに合わない」等の主観的理由（※事前に書面で具体的要件の合意がある場合を除く）

有効な不良が確認された場合の売主の対応は、売主が合理的に判断する範囲での修理・代替品対応・その他相当の救済に限定されます。

10. 知的財産権

買主は、提供したデザイン・ロゴ・素材等について必要な権利を有することを保証し、知的財産権侵害に関する第三者からの請求があった場合、買主は売主を免責することに同意します。

11. 機密保持（NDA）

機密性の高い情報を共有する場合、必要に応じて別途NDA（機密保持契約）を締結できるものとします。

12. 責任の制限

売主が本取引に関連して負う損害賠償責任の総額は、当該注文について買主が実際に支払った金額を上限とします。売主は、逸失利益、売上損失、事業機会の喪失、信用毀損その他の間接損害・特別損害・付随的損害について責任を負いません。

13. 優先言語

英語版と日本語版に齟齬がある場合、日本語版を優先します。

14. 準拠法と管轄

本条件は日本法に準拠します。紛争が生じた場合は、岐阜地方裁判所を第一審の専属的合意管轄裁判所とします。

15. 権利放棄なし

売主が権利または救済手段を行使しないこと、または行使が遅れたことは、当該権利等を放棄したものとはみなされません。権利放棄は売主が署名した書面による場合に限り有効とします。

16. 分離可能性

本条件の一部が無効または執行不能と判断された場合でも、その他の条項は引き続き有効に存続します。無効等とされた条項は、適法かつ執行可能となる最小限の範囲で修正されるものとします。

17. 完全合意・変更

本条件、ならびにプロフォーマ・インボイス／インボイスおよびそれらにおいて明示的に参照される書面合意は当事者間の完全な合意を構成し、これ以前の協議・提案・連絡その他一切に優先します。本条件の変更・修正は、当事者双方が合意した書面による場合に限り有効とします。
